TERMS & CONDITIONS OF SALE

1. Application of Conditions
1.1 These Terms & Conditions apply to all sales of Goods and Services by Decolight Limited (“the Supplier”, “we”, “us”) to the Customer.
1.2 These Terms constitute the entire agreement between the Supplier and the Customer and supersede all other terms, including any terms proposed by the Customer.
1.3 By placing an order, the Customer confirms acceptance of these Terms & Conditions.
2. Definitions & Interpretation
- Consumer: an individual purchasing wholly or mainly for personal use.
- Trade / Business Customer: a Customer purchasing wholly or mainly for business, trade, craft or professional purposes (including electricians, designers, contractors and developers).
- Goods: lighting products supplied by the Supplier.
- Contract: the agreement formed when an order is accepted.
- Delivery: delivery to the address provided at checkout.
Headings are for convenience only and do not affect interpretation.
3. Basis of Sale
3.1 Product descriptions, images, dimensions and finishes are for guidance only. Colours, finishes and dimensions may vary due to materials, manufacturing processes and screen display differences.
3.2 Orders are accepted when we issue written confirmation, dispatch the Goods, or issue an invoice.
3.3 We reserve the right to correct pricing, typographical or clerical errors prior to acceptance.
4. Pricing & Payment
4.1 Prices are shown inclusive of VAT unless stated otherwise.
4.2 Full payment is required at the time of order unless agreed otherwise in writing.
4.3 For made-to-order or bespoke Goods, a deposit may be required and is non-refundable once production has commenced.
4.4 Where a pricing error occurs, we will notify you and give you the option to proceed at the correct price or cancel

5.1 Delivery Times

5.2 Address Accuracy
The Customer is solely responsible for ensuring delivery details are complete and accurate. We cannot accept liability for loss arising from incorrect or incomplete address information.
5.3 Safe-Place Delivery
If no one is available, carriers may leave Goods in a secure location at the delivery address (including porch, doorstep, garage, neighbour or similar).
A signature is not required unless a signature-only service has been selected at checkout.
5.4 Inspection on Delivery
Customers are responsible for inspecting Goods promptly on delivery. Any visible damage, shortages or issues must be reported within 48 hours of delivery, supported by photographs. Claims made outside this timeframe may not be accepted.
6. Delivery Confirmation & Risk
6.1 Delivery is deemed complete when the carrier confirms delivery to the address provided, supported by one or more of the following:
- delivery imagery
- GPS location data
- time-stamped carrier records
- signature capture (where applicable)
6.2 Once delivery is confirmed, the Goods are treated as delivered for the purposes of this Contract.
6.3 The Supplier is not liable for loss, theft or damage occurring after confirmed delivery.
7. Non-Receipt Claims & Investigations
7.1 Where a Customer claims non-receipt despite confirmed delivery, the matter will be treated as a post-delivery or third-party loss.
7.2 We may assist with a carrier investigation but are under no obligation to issue a refund or replacement.
8. Fraud, Abuse & Chargebacks
8.1 Where we reasonably believe a claim is fraudulent, abusive or inconsistent with delivery evidence, we reserve the right to:
- refuse refunds or replacements
- decline re-shipment
- suspend or close accounts
- refuse future orders
8.2 Repeated non-receipt claims may be treated as abuse of process.
8.3 We reserve the right to submit delivery evidence to card issuers, payment providers and fraud-prevention agencies.
8.4 Chargebacks raised for confirmed deliveries will be contested.
9. Consumer Right to Cancel (Distance Sales Only)
9.1 Consumers have the right to cancel the Contract within 14 calendar days of receiving the Goods under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
9.2 Cancellation must be notified in writing by email.
9.3 Cancelled Goods must be returned within 14 days of cancellation.
9.4 The Consumer is responsible for return costs.
9.5 Refunds are issued within 14 days of receiving the returned Goods or evidence of return.
9.6 Returns must be made in accordance with Section 10 (Returns).
9.7 Exemptions – No Right to Cancel
The right to cancel does not apply to:
- made-to-order or bespoke Goods
- Goods made to the Customer’s specification
- Goods that have been installed, fitted, used or altered
(unless faulty).
10. Returns (Consumer Cancellation – Strict Policy)
10.1 Following cancellation, the Customer must return the Goods unused, unfitted, complete and in the original packaging, and in a condition suitable for resale.
10.2 The cost and risk of return are the Customer’s responsibility.
10.3 We do not accept returns for Goods that have been installed, fitted, used, altered, damaged, or are not in resale condition, except where the Goods are faulty.
10.4 Customers may return Goods using their own tracked and insured carrier, or may request that we arrange collection.
10.5 Where we arrange collection, collection fees apply and will be deducted from any refund.
Failed or aborted collections may incur additional charges.
10.6 Refunds will be processed once the Goods have been received and inspected. We reserve the right to reduce the refund for any diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the Goods.
11. Made-to-Order & Bespoke Goods
11.1 Made-to-order, bespoke or personalised Goods are exempt from cancellation, unless faulty.
11.2 Where we agree, at our sole discretion, to accept a return of such Goods, this will be subject to:
- the Goods being unused, unfitted and in original packaging;
- a handling / restocking fee of up to 25%; and
- applicable return or collection charges.
12. Faulty or Misdescribed Goods
12.1 Nothing in these Terms limits statutory rights under the Consumer Rights Act 2015.
12.2 Faults must be reported within a reasonable time and supported by evidence.
12.3 Where a fault is confirmed, we will repair, replace or refund in accordance with statutory requirements.
13. Trade / Business Customers
13.1 Trade Customers are not protected by consumer legislation.
13.2 Orders placed by Trade Customers are binding once accepted and are non-cancellable, unless agreed in writing by the Supplier.
13.3 Trade Customers must inspect Goods promptly on delivery. Any damage, shortages or errors must be reported within 48 hours of delivery, supported by photographs.
13.4 Risk passes on confirmed delivery.
13.5 Our liability to Trade Customers is limited to the invoice value of the Goods supplied.
13.6 Trade Returns (Discretionary)
Trade orders are supplied on a non-returnable basis unless the Goods are faulty or incorrect.
However, at our discretion, we may agree to accept a Trade return, subject to:
- the Goods being unused, unfitted, complete and in original packaging, suitable for resale;
- a handling / restocking fee of 25% of the Goods price (reflecting trade discounts and handling); and
- return or collection costs being payable by the Trade Customer.
13.7 Where agreed, discretionary Trade returns will be processed as either:
- a credit note, or
- a credit against a new order,
at the Supplier’s discretion. Cash refunds are not offered on discretionary Trade returns.
13.8 We do not accept Trade returns for change of mind, over-ordering, project cancellation, suitability, colour variation or delays outside our control.
14. Limitation of Liability
14.1 We do not exclude liability for death or personal injury caused by negligence.
14.2 Subject to the above, we are not liable for indirect or consequential loss.
15. Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales.
